The terms that govern ProAxis Templates digital products.

ProAxis Templates — Digital Product License & Terms of Sale. Version 2026.1.

1. Who you are buying from

These products are sold and fulfilled by Gumroad, Inc. as merchant and seller of record; Gumroad also collects and remits any applicable sales tax. The product content is licensed to you by ExpertEngine LLC d/b/a ProAxis Templates ("Licensor"), and was built by the licensed CPAs at ProAxis Tax & Accounting Services. This document licenses the content; the platform's terms govern the payment and sale transaction.

2. License grant

Licensor grants you a non-exclusive, non-transferable, single-user license to use the files for your own business or personal recordkeeping. This license is expressly conditioned on the restrictions and educational-use terms below. Any use outside this grant is unlicensed and infringes Licensor's copyright.

3. Restrictions

No resale, redistribution, sharing, sublicensing, or public posting of the files or their contents. Do not remove copyright or license notices. One purchase covers one user or business entity.

4. Educational purpose; no advice; no relationship

The products are general educational tools sold to the public. They are not tax, accounting, or legal advice, and not written tax advice under Treasury Circular 230. Your purchase does not create a CPA-client, engagement, fiduciary, or advisory relationship with ProAxis Tax & Accounting Services, ExpertEngine LLC, or any licensee. You agree you are not relying on us to apply these materials to your specific facts. No personalized advice is provided and none should be inferred. For advice on your situation, engage a professional directly.

5. Currency of information; no duty to update

All rates, thresholds, and deadlines are stated as of the date shown on the file for the tax year noted, based on the primary sources cited inside. Tax law changes. Licensor has no obligation to update, revise, or notify you of changes after delivery. Verify current figures at irs.gov or your state agency before acting.

6. Warranty disclaimer

THE PRODUCTS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS." LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW.

7. Limitation of liability

Licensor's total liability is limited to the amount you paid for the product, except this cap does not apply to (i) liability that cannot be limited under applicable law, (ii) rights and remedies under the New Jersey Consumer Fraud Act or any comparable non-waivable state consumer-protection statute, or (iii) fraud or willful misconduct.

8. New Jersey residents

If you are a New Jersey consumer: nothing in Sections 6 or 7 limits any right or remedy you have under the New Jersey Consumer Fraud Act, the Truth-in-Consumer Contract, Warranty and Notice Act, the Punitive Damages Act, or the Uniform Commercial Code that cannot be waived by contract. Those Sections apply to you only to the extent New Jersey law permits.

9. Refunds

Digital products are delivered instantly and are non-refundable once downloaded. We will refund or replace any file that is corrupt, materially not as described, or not delivered, within 30 days of purchase. Platform refund policies (Gumroad) also apply.

10. Support

Support covers download, file, and format issues only. Individualized tax, accounting, or legal questions are not answered through the sales channel. For advice on your facts, book a consultation (an engagement letter is required for professional services).

11. Governing law

This license is governed by New Jersey law, except this clause does not deprive you of protections of the consumer-protection law of your state of residence that cannot be waived by contract. Disputes not eligible for small-claims court shall be brought in the state or federal courts located in New Jersey.
